Ebusco publishes an information document

Deurne, 20 August 2026 – Ebusco Holding N.V. (Ebusco, Euronext: EBUS) today announces it has published an information document related to the admission to listing and trading of the new shares that will be issued to Rhein Holding B.V.

Issuance of the New Shares and publication of an (Annex IX) Information Document

On 19 August 2026, Ebusco announced an agreement with Rhein Holding B.V. for a EUR 6.0 million equity investment, under which 31,725,049 new ordinary shares will be issued at an issue price of EUR 0.189125 per share (the Rhein Equity Investment). The Rhein Equity Investment will be completed in two equal tranches of EUR 3.0 million.

15,862,525 new Ebusco shares will be issued today, 20 August 2026, under the first tranche of the Rhein Equity Investment (the First Tranche Shares). The First Tranche Shares are expected to be admitted to listing and trading on Friday, 21 August 2026.

The second tranche of the Rhein Equity Investment is expected to be funded before or on 31 August 2026, subject to customary terms and conditions, and comprises 15,862,524 new Ebusco shares (the Second Tranche Shares, and in combination with the First Tranche Shares, the New Shares).

In connection with the admission of the New Shares, Ebusco has prepared an Information Document in accordance with article 1(5)(ba)(iii) and Annex IX of Regulation 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC, as amended (the Prospectus Regulation).

The Information Document was filed with the Dutch Authority for the Financial Markets (the AFM) on 19 August 2026 (after market close). The Information Document does not constitute a prospectus within the meaning of the Prospectus Regulation and has not been subject to the scrutiny and approval of the AFM, as competent authority.
